PRO Account and Reseller Agreement

This Agreement sets forth the terms and conditions governing individuals or agencies (hereinafter “Reseller” or “PRO Account Holder”) who are authorized to offer services to their clients through the Connect+ platform, operated by Digit Etcetera (Bangladesh) and Fusion Digi (Canada).
By enrolling in the Connect+ PRO Account or onboarding clients under the Connect+ brand, you accept and agree to abide by this legally binding agreement.
1. Definitions
- Connect+: The digital business card and mini-site platform operated by Digit Etcetera and Fusion Digi.
- PRO Account Holder / Reseller: A person, business, or agency enrolled in the PRO program to offer Connect+ services to clients.
- Client / End-User: A customer or user served by a Reseller using Connect+ tools, templates, or infrastructure.
- White-label Resale: Selling services via Connect+ infrastructure under the Reseller’s brand, subject to brand attribution terms.
2. Rights Granted to PRO Accounts
a. Platform Usage
PRO Account Holders are granted the right to:
- Access enhanced backend tools and features for managing multiple clients
- Offer done-for-you card setup, customization, or automation services
- Set their own prices and package structures for services offered to end clients
- Use Connect+ templates, tools, and infrastructure to serve clients under their agency or personal branding, within branding guidelines
b. Revenue Sharing
Connect+ allows the following revenue models:
- Direct Sales by Reseller (Self-Onboarded Clients): Resellers retain 100% of service fees charged to clients, minus applicable platform usage or license fees.
- Co-Branded or Platform-Onboarded Clients: For leads or clients partially served through Connect+ staff or platform, Connect+ retains a platform fee and revenue is shared, generally in a 70:30 or 60:40 model depending on involvement.
Exact revenue sharing terms are documented per tier and use case.
3. Onboarding Rules & Account Ownership
- All end-client accounts onboarded through a PRO Reseller must be registered clearly under the Reseller’s profile or affiliate tag.
- Resellers are responsible for KYC and accurate client data collection.
- Connect+ reserves the right to request information or audit accounts in case of suspected policy violations or disputes.
Ownership of the client relationship remains with the Reseller unless a transfer is mutually agreed.
4. Support Obligations
Resellers are responsible for providing first-line support to their clients, including:
- Answering queries about usage, content updates, or basic platform instructions
- Coordinating troubleshooting before escalating to Connect+ support
- Managing client billing or package upgrades unless handled by Connect+ directly
If a Reseller fails to support their clients, Connect+ may:
- Contact the client directly (in co-branded or white-label scenarios)
- Charge a service handover fee
- Revoke PRO access in case of repeated negligence
5. Branding & Attribution Guidelines
While PRO Resellers may use their own branding in client interaction, they must not:
- Remove or hide “Powered by Connect+” if the plan or package includes branding
- Impersonate Connect+ or represent themselves as its founders or parent organization
- Claim full IP rights over templates originally provided by Connect+
White-label branding without attribution is allowed only under special PRO white-label licensing and must be contractually agreed.
6. Ownership of Work & Design Rights
- All templates and tools provided by Connect+ remain the intellectual property of the platform.
- Custom designs created by PRO Resellers may be used by Connect+ as general templates if deemed useful, unless explicitly excluded in writing.
- End clients may request reproduction or inspiration from any template on the platform, even if created by another PRO, unless marked “Exclusive”.
7. Client Dispute & Responsibility
- Resellers are fully responsible for the conduct, payment, and satisfaction of the clients they onboard or serve.
- Connect+ shall not be held liable for refund disputes, support complaints, or legal action originating from a PRO Reseller’s client.
If disputes arise:
- Resellers must cooperate to resolve the issue
- Connect+ reserves the right to intervene and reassign accounts in the client’s best interest
- Chronic disputes may result in termination or suspension of the PRO Account
8. Termination & Account Suspension
Connect+ may suspend or terminate a PRO Account if:
- Reseller breaches any clause in this agreement
- Involves in unethical or misleading marketing
- Receives repeated complaints from clients
- Fails to comply with Connect+ platform standards or legal obligations
In such cases, pending revenue shares may be withheld and PRO status revoked.
Resellers may voluntarily cancel their PRO account with 15-day written notice.
9. Liability & Indemnification
Resellers agree to:
- Operate in compliance with local and international business laws
- Indemnify Connect+ against all claims, damages, or losses caused by their client handling or custom development
- Acknowledge that Connect+ is not liable for damages resulting from third-party content or unauthorized use of the platform by the Reseller or their clients
10. Confidentiality & Data Usage
All backend access, client data, analytics, and internal documents shared with Resellers are strictly confidential and may not be disclosed, copied, or reused outside the scope of Connect+ operations.
Violation of confidentiality is grounds for immediate termination.
11. Modification of Agreement
Connect+ may revise this agreement at any time. Resellers will be notified of major changes via email or platform announcement. Continued use of PRO services implies acceptance.
12. Governing Law
This agreement is governed by the jurisdiction of the primary operating legal entity of the Reseller’s residence or operating region (Bangladesh/Canada). Disputes shall be handled by arbitration or local business tribunals.
